  • Delays or disruptions to the Project due to unforeseen circumstances, including but not limited to weather, supply chain disruptions, or third-party delays;
  • Defects or damage arising from the use of third-party contractors, suppliers, or materials;
  • Any liability arising from changes or alterations made to the property after completion.

The Company will not be liable for any damages arising from the Client’s failure to provide accurate information, adhere to regulatory requirements, or fulfil any Client obligations outlined in the project agreement.


8. LIMITATION OF LIABILITY (WEBSITE USE)

Silver Leaf Developments Pty. Ltd. does not guarantee that the Website will be free from errors, viruses, or other harmful components. You use the Website at your own risk. To the fullest extent permitted by law, we exclude all liability for any loss or damage arising from your use of, or inability to use, our Website.


9. QUOTATIONS AND ESTIMATES

All estimates or quotations provided by Silver Leaf Developments Pty. Ltd. are valid for [30 days] from the date issued. The Company reserves the right to amend or withdraw any quotation prior to acceptance. Once a quotation is accepted, it constitutes a binding agreement for the Services specified, subject to these Terms and Conditions.


10. PAYMENT TERMS

The Client agrees to make payments according to the payment schedule outlined in the contract or agreement for services.

  • Deposit: A deposit of [percentage or fixed sum] must be paid upon acceptance of the quotation.
  • Progress Payments: Progress payments must be made in accordance with the agreed schedule.
  • Final Payment: Final payment must be made upon completion of the Services and/or Project.

Failure to pay on time may result in delays in the delivery of Services or suspension of work. Late payments will attract an interest rate of 20% per annum, calculated daily.


11. CANCELLATION AND TERMINATION

  • Client Cancellation: If the Client wishes to cancel the Services, the Client must provide written notice to the Company. Any deposits or progress payments made are non-refundable, unless otherwise specified in the individual contract.

  • Company Cancellation: Silver Leaf Developments Pty. Ltd. reserves the right to terminate the agreement at its sole discretion if the Client breaches any terms, fails to make payments, or engages in unlawful activity.

In the event of termination, the Client remains liable for any costs incurred up to the termination date.


12. INDEMNITY

The Client agrees to indemnify and hold harmless Silver Leaf Developments Pty. Ltd., its directors, employees, and agents from and against any claims, liabilities, losses, damages, and expenses, including legal fees, arising out of or in connection with:

  • The Client’s use or misuse of the Services;
  • Any breach of these Terms and Conditions by the Client;
  • Any claims by third parties resulting from the Client’s actions or omissions.

13. FORCE MAJEURE

Silver Leaf Developments Pty. Ltd. shall not be held responsible for any delays or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, pandemics, government regulations, or supply chain disruptions.


14. INTELLECTUAL PROPERTY (SERVICES)

All intellectual property rights, including but not limited to plans, designs, drawings, reports, and marketing materials created by Silver Leaf Developments Pty. Ltd. in the course of providing Services, shall remain the property of the Company unless expressly agreed otherwise in writing.

The Client is granted a limited, non-exclusive licence to use any materials provided for the purpose of the specific Project.


15. NO WARRANTY

Silver Leaf Developments Pty. Ltd. makes no warranties, whether express or implied, regarding the Services, Website, or any materials provided, including but not limited to any implied warranties of merchantability or fitness for a particular purpose. All Services are provided “as is.”


16. COMPLIANCE WITH LAWS AND REGULATIONS

The Client is responsible for ensuring compliance with all applicable local, state, and federal laws and regulations in connection with the Project. Silver Leaf Developments Pty. Ltd. will not be held responsible for any violations arising from the Client’s failure to adhere to legal requirements.


17. PRIVACY POLICY

Your use of the Website is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using our Website, you consent to the collection and use of information as outlined in the Privacy Policy.


18. DISPUTE RESOLUTION

Any disputes arising from these Terms and Conditions shall first be attempted to be resolved through good-faith negotiations between the parties. If unresolved, the dispute may be referred to mediation in Queensland under the rules of the relevant mediation authority. If mediation is unsuccessful, either party may seek legal recourse through the courts of Queensland.

Silver Leaf Developments Pty. Ltd. reserves the right to amend these Terms and Conditions at any time. Any changes will be communicated to the Client, and continued engagement with the Company’s Services or use of the Website will be considered acceptance of the updated terms.


20. SEVERABILITY

If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.


21. GOVERNING LAW

These Terms and Conditions are governed by and construed in accordance with the laws of Queensland, Australia. The Client agrees to submit to the exclusive jurisdiction of the courts of Queensland for the resolution of any disputes.
